Minnesota MG Group Club Bylaws

ARTICLE  I

This Minnesota chapter 317A nonprofit corporation filed March 29, 2001 shall be called the Minnesota MG Group or MMGG.


ARTICLE  II

Purpose: The Minnesota MG Group MMGG was founded in 1987 and is dedicated to the preservation, restoration, maintenance and enjoyment of all MG cars.  The club was originally organized for MGA, MGB, MGC and Midget enthusiasts but is also dedicated to all models of the marque.


ARTICLE  III

Membership:

Section 1. Membership is open to any person who wants to enjoy the fellowship offered by the MG Group.

Section 2. MG car ownership is not necessary to be a member of the Minnesota MG Group.  All persons who are willing to abide by the rules and regulations of these By-laws shall be entitled to membership in the Minnesota MG Group.

Section 3. The membership of the club shall never be limited to a given number of members.

Section 4. Membership shall be granted to anyone paying regular dues.

Section 5. Membership requires payment of annual dues to the MMGG Treasurer.  Dues shall be set by the Executive Board as part of the budget process.  Any person paying the required dues shall be granted membership with full rights and privileges.  The membership year runs is from January 1st through December 31st.  New members joining after August 31 of any given year shall be granted membership for the remainder of that year and the next year as well.  Non payment of dues by May 31st will result in termination of membership. Membership is within a household.  Membership allows the participation in all club events.  Each member will also receive the current MMGG Gazette.

 

ARTICLE  IV

Officers:

Section 1. The government of the Minnesota MG Group shall be vested in the following elected officers who form the Executive Board:
President
Vice President
Treasurer
Secretary
Newsletter Editor
Regalia Coordinator
Webmaster
Immediate Past President

Section 2. A Minnesota MG Group Officer Position may be held by a husband/wife team.

Section 3. The President is the principal executive of the MMGG and shall preside at all
Business and Officers meetings. The President shall be responsible for coordinating and
scheduling the MMGG activities and or calendar of events.

Section 4. The Vice President shall support the President in all MMGG activities.  In absence of the President, the Vice President shall perform the duties of the President.

Section 5. The Treasurer shall handle all financial transactions for the Minnesota MG Group.  The books/records shall be kept in good order for an annual review by the elected officers.  The treasurer shall report the finances in the MMGG Gazette on at least an annual basis.  The treasurer shall be responsible for keeping a current and accurate file of all MMGG memberships.  The treasurer is responsible for notifying members who are delinquent in dues no later than April 30th.

Section 6. The Secretary shall keep the minutes of all Business and Officers meetings. The minutes will be given to the MMGG Editor for publication in the Gazette.  The Secretary shall also be the archive for the MMGG Constitution and By-Laws.  The Secretary will also direct the necessary correspondences with all national MG affiliations.

Section 7. The Newsletter Editor shall be responsible for generating the Minnesota MG Group Gazette each month that the club has an activity scheduled.

Section 8. The Regalia Coordinator is responsible for the generation and sales of all MMGG regalia.

 

ARTICLE  V

Election of MMGG Officers:

Section 1. At a business meeting in November the elected President shall present to the
membership a slate of officers for the next election period.

Section 2. The term of office is two years and commences upon election.

Section 3. An officer in the position of President, Vice President, Immediate Past-President, Treasurer and Secretary, may hold a Board position for no more than two consecutive terms or four years.  A past officer in the above Board positions may be re-elected after being out of a position for one term or two years.  There is no limit on the number of consecutive terms an officer may serve in the position of Newsletter Editor, Regalia Coordinator or Webmaster.

Section 4. The candidate receiving the highest number of votes cast for an office shall be elected for that term or office.

Section 5. Any vacancy in office, except that of President, shall be filled by appointment of the President subject to approval by the Executive Board.

 

ARTICLE  VI

Finances:

Section 1. All dues and fees collected by the MMGG shall be disbursed for the expenses of the MMGG.

Section 2. The MMGG shall be required to maintain a bank checking account for monies
received and disbursements.

Section 3. Expenditures over $150.00 shall be approved by the Executive Board or member majority vote.

 

ARTICLE  VII

Committee Chairs:

Committee Chairs shall be responsible for leading and coordinating special activities outside the standard Calendar of events.  Committee Chairs will report their progress and activities to the Executive Board.

 

ARTICLE  VIII

Amendments:

Section 1. The MMGG Constitution and by-laws may be amended or new by-laws adopted at any MMGG member business meeting by a two thirds majority vote of the members voting.  The proposed change must be presented to the members in the MMGG Gazette prior to the adoption at the business meeting.

 

ARTICLE  IX

Parliamentary Law:

“Roberts Rules of Order, Revised” shall govern in all cases to which they are applicable and in which they are not inconsistent with these By-Laws, the Articles of Incorporation and Minnesota chapter 317A.
